Terms of Service

These Terms of Service ("Terms") govern your access to and use of neuecode.com and all products and services offered by NeueCode LLC (the "Service"), which is owned and operated by NeueCode LLC, an Oregon, USA company. By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company, agency, brand, or other entity, you represent that you have authority to bind that entity to these Terms.

1. About the Service

NeueCode provides enterprise AI solutions including but not limited to video surveillance and face recognition (NeueTrace); AI-powered law enforcement surveillance (Police.Live); and related enterprise software, consulting, and integration services. We may add, remove, suspend, or modify features at any time.

2. Eligibility and Account Registration

You must be legally able to enter into a binding agreement to use the Service. You agree to provide accurate and current information; keep your login credentials secure; promptly update account information when it changes; and notify us promptly of any unauthorized use or suspected security issue. You are responsible for all activity occurring under your account unless prohibited by law.

3. Workspace, Teams, and Enterprise Use

If you create or administer a workspace, organization, or enterprise account, you are responsible for managing access permissions; ensuring that invited users are authorized; ensuring that connected accounts and systems are used with proper authority; and monitoring automation settings and approval workflows. If you join a workspace managed by another person or entity, your activity and account-related information may be visible to authorized workspace administrators.

4. Connected Platforms and Authority

The Service may allow you to connect accounts from third-party services and platforms. By connecting an account, you represent and warrant that you own that account, or you have all permissions necessary to use it through the Service; you have authority to grant the permissions you authorize; and your use of the Service will comply with the policies, rules, and terms of the connected platform. You remain responsible for maintaining required disclosures, labels, and authorizations on connected platforms.

5. Acceptable Use

You agree not to use the Service to violate any law, regulation, or third-party right; infringe intellectual property, privacy, publicity, or contractual rights; impersonate a person or entity or misrepresent affiliation; distribute spam, deceptive content, malware, or abusive automation; engage in unlawful scraping, harvesting, credential abuse, or unauthorized access; interfere with the operation, integrity, or security of the Service; publish unlawful, defamatory, fraudulent, hateful, harassing, or misleading content; or use the Service for manipulation, coordinated inauthentic behavior, or similar prohibited conduct. We may investigate suspected violations and may suspend or terminate access where appropriate.

6. User Content

You retain ownership of the content, prompts, instructions, media, and materials you submit or upload to the Service ("User Content"). You grant NeueCode LLC a non-exclusive, worldwide, limited license to host, store, process, reproduce, modify, transmit, and display User Content solely as necessary to operate and provide the Service; improve functionality and reliability; maintain security; support collaboration and publishing features; and comply with law and enforce these Terms. You represent and warrant that you have all rights necessary to provide User Content and to authorize its use through the Service.

7. AI-Generated Output

The Service may generate drafts, recommendations, suggestions, analytics, alerts, and other output using AI systems. You acknowledge that AI output may be incomplete, inaccurate, or unsuitable for your intended purpose. You are solely responsible for evaluating, reviewing, and using any output. We do not guarantee factual accuracy; platform compliance of generated content; specific results or business outcomes; or uninterrupted availability of any AI model or provider.

8. Fees, Subscriptions, and Billing

Some features may require payment. By purchasing a subscription or paid feature, you agree to pay all applicable fees, taxes, and renewal charges associated with your plan. Additional billing terms, including pricing, renewal cadence, cancellation rules, refund rules, and payment-failure consequences, may be posted on the website, checkout page, order form, or a separate commercial agreement, and are incorporated into these Terms by reference.

9. Privacy

Your use of the Service is also governed by our Privacy Policy.

10. Suspension and Termination

We may suspend, restrict, or terminate your access to the Service, with or without notice where permitted by law, if you violate these Terms; your use creates legal, security, operational, or reputational risk; a third-party platform or provider requires or requests action; we suspect fraud, abuse, spam, unauthorized access, or harmful conduct; fees remain unpaid; or we discontinue the Service or a relevant feature. You may stop using the Service at any time. Upon termination, provisions that by their nature should survive termination will remain in effect.

11. Intellectual Property

The Service, including its software, code, design, layout, branding, interfaces, graphics, databases, and underlying technology, is owned by or licensed to NeueCode LLC and is protected by applicable intellectual property laws. Except as expressly permitted by these Terms or by law, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available." NeueCode LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or suitable for your purposes.

13. Limitation of Liability

To the maximum extent permitted by law, NeueCode LLC and its affiliates, owners, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or reputation, arising out of or related to the Service or these Terms. The total aggregate liability of NeueCode LLC for any claim arising out of or related to the Service or these Terms will not exceed the greater of the amount you paid to NeueCode LLC for the Service during the 12 months before the event giving rise to the claim, or USD $100.

14. Indemnification

You agree to defend, indemnify, and hold harmless NeueCode LLC and its affiliates, owners, officers, employees, contractors, licensors, and partners from and against any claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service; your User Content; your violation of these Terms; or your violation of any law, regulation, platform rule, or third-party right.

15. SMS Terms of Service

By providing your mobile phone number and opting in to receive text messages from NeueCode, you consent to receive SMS messages from us, which may include account notifications, service alerts, support messages, conversational messages, and other transactional or operational updates related to your use of NeueCode services.

16. Governing Law and Venue

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict of law principles. Unless applicable law requires otherwise, any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Oregon, USA, and you consent to that jurisdiction and venue.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date. Material changes may also be communicated through the Service, the website, or email where appropriate. Your continued use of the Service after updated Terms become effective means you accept the revised Terms.
